Kirkland & Ellis announced on May 8 that it is advising Spectrum, a portfolio company of Sentinel Capital Partners, in the sale of its Autronica Fire and Security division to MSA Safety. The deal values the transaction at approximately $555 million.
The agreement will see Autronica Fire and Security, which operates as a standalone unit within Spectrum’s Safety Solutions platform, transition ownership to MSA Safety. MSA Safety is described as a global leader in safety products and technology.
According to Kirkland & Ellis, their legal team for this transaction includes corporate lawyers Dipak Bhundia, Victoria Legg, Sher Lin Wong and Michael Puvanesan; technology and intellectual property transactions lawyers Andre Duminy, Jenni Polson, Saif Khan and Luke Vaz; tax lawyers Peter Abbott, Steven Ort, Amy Francis and Chloe Rowan; as well as environmental transactions lawyers Samuel Dykstra and Carter Vella.
A press release from Sentinel Capital Partners outlines the terms of the definitive agreement regarding this sale. Further details about the strategic reasoning or future plans for Autronica under new ownership were not disclosed in the announcement.
This transaction marks another significant movement in the safety solutions sector. Observers may watch for further developments as MSA Safety integrates Autronica into its operations.
