Partners Debra Franzese and Larissa Marcellino will present two virtual continuing legal education webinar sessions on June 3 as part of the course “Private Equity Co-Investments Under Fire: Structuring Deals, Governing Conflicts, and Surviving SEC Scrutiny,” hosted by myLawCLE. The first session, titled “The Deal Behind the Deal: Origination, Structure, and Governance,” is scheduled for 1:00 PM Eastern Time.
During this session, Franzese and Marcellino will discuss how co-investment opportunities originate and how allocation decisions are made. They will cover topics including the capital toolkit from co-investments and club deals to GP-led secondaries and NAV lending. The session will also address fiduciary duty obligations and governance provisions that come into play under stress.
The second session, “When Deals Go Sideways and the Regulator Steps In,” is set for 2:10 PM Eastern Time. In this segment, they will examine conflict architecture, exit rights, deadlock mechanics, and side letter arrangements. The presentation will then focus on current Securities and Exchange Commission examination priorities following recent Fifth Circuit enforcement patterns as well as Form ADV failures.
